EverSafe Sensory™ Distributor / Partner Agreement

This Distributor / Partner Agreement (“Agreement”) is entered into by and between EverSafe Sensory LLC (“Company”) and the undersigned distributor or partner (“Distributor”).

By accepting a quote, placing an order, or purchasing products at distributor pricing, Distributor agrees to the terms outlined below.

1. Products

   This Agreement applies to EverSafe Sensory LLC product(s), including but not limited to Chomp Champ™, an oral sensory chew tool (“Products”).

2. Pricing & Minimum Advertised Price (MAP)

   • Distributor agrees to sell Chomp Champ™ at no less than  EverSafe Sensory LLC’s established retail price of $79.99 USD.

   • Discounting below $79.99, bundling that results in an effective price below $79.99, or promotional pricing that undercuts MSRP is not permitted without prior written approval from EverSafe Sensory LLC.

   • Violation of this pricing policy may result in suspension or termination of distributor status.

3. Quotes, Orders & Payment Terms

   • All pricing quotes will be provided electronically by EverSafe Sensory LLC.

   • Quotes are valid only for the time period stated in the quote.

   • Upon acceptance of a quote, EverSafe Sensory LLC will issue an invoice reflecting:

     • Distributor pricing

     • Shipping costs to the Distributor’s U.S.-based delivery address

   • Payment is due in full prior to shipment.

     
     

   Payment will be collected via credit card payment link provided on the invoice.

4. Shipping, Duties, & Fees

   • Products ship from the United States.

   • All shipping costs, duties, customs fees, taxes, tariffs, currency conversion fees, and any related charges are the sole responsibility of the Distributor.

   • EverSafe Sensory LLC is not responsible for delays, fees, or issues arising from customs clearance, carrier handling, or distributor-provided shipping information.

5. Fulfillment & Shipping Timeline

   • Once an invoice is paid in full, EverSafe Sensory LLC will ship the order as soon as reasonably possible, subject to product availability.

   • Shipping timelines may vary based on inventory, carrier, and order volume.

   • EverSafe Sensory LLC is not liable for carrier delays once the order has shipped.

6. Product Instructions & Language

   • At this time, all Products include instructions for use in English only.

   • Distributor acknowledges and accepts that translated instructions are not currently available.

   • Distributor is responsible for compliance with any local labeling or language requirements outside the United States.

7. Compliance & Distribution Responsibility

   • Distributor is responsible for ensuring compliance with all local, regional, and international laws, regulations, certifications, and import requirements applicable to their resale or distribution of the Products.

   • EverSafe Sensory has not completed international testing or certification unless explicitly stated in writing.

   • Distributor assumes all responsibility for importing Products into any market outside the United States.

8. Intellectual Property

   • All trademarks, product names, logos, and branding, including Chomp Champ™ and EverSafe Sensory, remain the exclusive property of EverSafe Sensory LLC.

   • Distributor may not alter, rebrand, relabel, or modify Products or packaging without written authorization.

9. Termination

   • EverSafe Sensory LLC reserves the right to terminate this Agreement and distributor pricing access at any time if terms are violated, including but not limited to pricing violations or misuse of intellectual property.

   • Termination does not relieve Distributor of payment obligations for orders already placed.
